Terms of Use

1. Who these terms cover
These Terms of Use govern your use of myebmg.com and everything offered through it. In these terms, “EBMG”, “we”, “us” and “our” mean Exodus Business Management Group. “You” means the person using the site.
By using the site you accept these terms. If you do not accept them, please do not use the site.
2. Who may use the site
You must be 18 or older to submit an inquiry or request a consultation through this site. You are responsible for the accuracy of what you send us.
3. What this site is, and what it is not
This site describes our services and publishes general writing about tax and owner decisions. Nothing on it is tax, legal, accounting or investment advice about your situation, and reading it does not make you a client.
Tax law changes, and it applies differently to different facts. Do not act on anything published here without advice that accounts for your own circumstances.
4. How an engagement actually starts
We become your advisor only when both sides sign an engagement agreement that names the service, the scope, the fee and the period covered. Until that is signed, an inquiry, a consultation or an exchange of emails does not create a professional relationship and does not obligate either of us.
Where the engagement agreement and these terms differ, the engagement agreement governs that relationship.
5. Written tax advice
Written advice on a Federal tax matter is governed by Treasury Department Circular 230. We write it to that standard, based on the facts you give us and the assumptions stated in the letter. A change in the facts, in the law, or in how the law is interpreted can change the conclusion.
A tax opinion sets out facts, authority, reasoning and a level of confidence. It is not a guarantee of how a position will be treated on examination, and no one acting for us is authorized to give one.
6. What we own
The written material, guides, images, layout and the EBMG name and marks are our property or used by us with permission. You may read and print pages for your own reference. You may not republish, resell or redistribute them, or use them to build a competing service.
7. What you may not do
Do not scrape, copy or republish the site. Do not upload anything unlawful or misleading or that infringes someone else’s rights. Do not attempt to break, probe or overload the site, or to reach any part of it you have not been given access to.
8. No guarantee of results
We explain how tax and financial decisions work. We do not promise a refund, a savings figure, an audit outcome, a valuation or any other result, and no one acting for us is authorized to promise one.
9. Third party services
The site relies on third party services for hosting, email, analytics and scheduling, and it links to sites we do not run, including our client portal. We are not responsible for the content or practices of those services, and their own terms apply when you use them.
10. The site is provided as is
The site and everything on it is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non infringement. We do not warrant that the site will be uninterrupted, timely, secure or error free.
11. Limitation of liability
To the fullest extent the law allows, EBMG and its owners, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or lost opportunities, arising out of your use of the site. Our total liability for any claim relating to the site will not exceed one hundred dollars.
This section limits liability for the site. Liability for professional services is addressed in the engagement agreement for that service. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Indemnity
You agree to indemnify and hold us harmless from claims, losses and reasonable legal costs arising from your use of the site, the information you send us, or your breach of these terms.
13. Ending your access
We may suspend or remove access for anyone who breaches these terms, and we may change or stop offering the site. Sections 6, 10, 11, 12 and 14 survive.
14. Governing law and disputes
These terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Los Angeles County, California, and you and we both consent to that jurisdiction.
15. Changes
We may update these terms. When we do, we will change the effective date at the top, and for material changes we will post a notice on the site before the change takes effect. Continuing to use the site after that means you accept the updated terms.
